Terms and Conditions

These Terms and Conditions govern access to and use of our assessment platform and services. By registering for or using the platform, you agree to be bound by these terms on behalf of yourself and your organisation.

1. Definitions

  • “Platform” means our online assessment and recruitment tooling service.
  • “Customer” means the business entity that has registered for and pays for access to the Platform.
  • “Authorised User” means any individual granted access by the Customer.
  • “Candidate” means any individual assessed through the Platform by a Customer.
  • “We / Us” means [Company Name], registered in England and Wales.

2. Access and Account

We grant Customers a non-exclusive, non-transferable licence to access and use the Platform during the subscription term, solely for the Customer's internal recruitment and assessment purposes. Customers are responsible for maintaining the confidentiality of account credentials and for all activity under their account.

3. Subscription and Payment

Subscriptions are offered on the terms set out at the point of purchase or in a separate Order Form. Fees are due in advance. We reserve the right to suspend access where payment is overdue by more than 14 days, following written notice. All fees are exclusive of VAT unless stated otherwise.

4. Customer Obligations

Customers must use the Platform in compliance with our Acceptable Use Policy and all applicable laws, including the Equality Act 2010 and UK GDPR. Customers are responsible for obtaining any necessary consents from candidates before assessment and for providing candidates with appropriate privacy notices.

5. Data Processing

Where Customers use the Platform to process candidate personal data, they act as the data controller and we act as the data processor. Processing is subject to our Data Processing Agreement (DPA), which forms part of these terms. Customers warrant that they have a lawful basis for all processing of candidate data through the Platform.

6. Intellectual Property

All intellectual property rights in the Platform, including its content, assessments, and tooling, remain our property or that of our licensors. Customers retain ownership of any content or data they upload to the Platform. Customers grant us a limited licence to process that data solely to provide the service.

7. Confidentiality

Each party will keep the other's confidential information — including pricing, technical, and business information — strictly confidential and will not disclose it to third parties without prior written consent, except as required by law.

8. Warranties and Disclaimers

We warrant that the Platform will perform materially in accordance with its documentation. We do not warrant that the Platform will be uninterrupted or error-free, or that assessments will predict candidate performance. The Platform is provided as a tool to inform hiring decisions; final decisions remain the Customer's responsibility.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability to a Customer in any 12-month period shall not exceed the fees paid by that Customer in that period. Neither party shall be liable for indirect, consequential, or loss-of-profit damages. Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

10. Term and Termination

These terms apply for the duration of the Customer's subscription. Either party may terminate for material breach on 30 days' written notice if the breach is not remedied within that period. We may terminate immediately for serious violations of the Acceptable Use Policy or for non-payment. On termination, Customer data will be made available for export for 30 days, after which it will be deleted in accordance with our retention policy.

11. Changes to the Platform or Terms

We may update these terms or the Platform from time to time. Material changes to terms will be notified at least 30 days in advance. Continued use of the Platform after changes take effect constitutes acceptance.

12. Governing Law

These terms are governed by English law. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
